It's tricky. You're converting sound samples into sheet music almost. I know of no automatic conversion tool

There is a music writing a program called Sibelius which can can take sampled sound and turn it through midi into sheet music, then through it's add on program can scan sheet music and turn it into midi which then can be stored as mp3. So it might be possible to to do mp3 to midi. 8l1nd 8l1nd

I have an early version of Sibelius, Ver 1.105 I think, so if its any good to you I have uploaded it to http://www.swallows-nest.com/Sibelius v1.105.zip

I got it via Napster in my brass music days so I guess you might be able to get a later version if need be.

Load it, select the track you want to convert, right click on it, off you go, easy peasy...
